1. About the platform

Initium Automate is a browser-based invoice automation platform operated by Initium Automate Ltd. The platform enables users to generate professional invoice PDFs from spreadsheet data, entirely within their own web browser.

All data processing occurs locally on the user's device. No spreadsheet data, invoice content, or financial information is transmitted to or stored on our servers.

2. Eligibility

By using Initium Automate, you confirm that:

• You are at least 18 years of age
• You have the legal authority to enter into this agreement on behalf of yourself or your organisation
• Your use of the platform complies with all applicable laws and regulations in your jurisdiction

3. Subscription and payment

Access to Initium Automate requires a paid subscription at £299 per month. By subscribing, you agree to the following:

• Subscriptions are billed monthly in advance
• You may cancel at any time and access will continue until the end of the current billing period
• No refunds are provided for partial months unless required by applicable law
• We reserve the right to update pricing with reasonable advance notice
• There are no setup fees or long-term contracts

4. Permitted use

Initium Automate is licensed for legitimate business use only. You agree to use the platform solely for lawful purposes and in accordance with these terms. You may not:

• Use the platform to generate fraudulent, misleading, or illegal invoices
• Attempt to reverse engineer, copy, or replicate any part of the platform
• Share, resell, or sublicense access to the platform to third parties
• Use the platform in any way that violates applicable laws or regulations
• Attempt to circumvent any security or access controls

5. Your data and responsibility

Because all data processing occurs within your browser, you retain full ownership and control of all data you use with the platform. You are solely responsible for:

• The accuracy and legality of the data you input into the platform
• The invoices generated and any obligations arising from them
• Ensuring you have the right to process any personal data contained in your spreadsheets in accordance with applicable data protection law
• Maintaining appropriate backups of your data and generated invoices

6. Intellectual property

All intellectual property rights in the Initium Automate platform, including its design, code, branding, and content, are owned by Initium Automate Ltd. Nothing in these terms grants you any ownership rights in the platform.

You retain full ownership of any invoices and documents you generate using the platform.

7. Availability and support

We aim to maintain continuous availability of the platform but do not guarantee uninterrupted access. We may carry out maintenance, updates, or improvements from time to time. We will endeavour to minimise disruption where possible.

Support is provided via email during business hours. We aim to respond to all enquiries within one business day.

8. Limitation of liability

To the maximum extent permitted by applicable law, Initium Automate Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to loss of data, loss of revenue, or business interruption.

Our total liability to you for any claim arising under these terms shall not exceed the amount you have paid to us in the three months preceding the claim.

9. Termination

You may cancel your subscription at any time via your account settings or by contacting us. We reserve the right to suspend or terminate access to the platform immediately if you breach these terms or engage in conduct that we reasonably consider harmful to the platform, other users, or our business.

10. Governing law

These Terms of Use are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

We may update these Terms of Use from time to time. We will notify active subscribers of any material changes with reasonable advance notice. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
